Template Shop Terms & License Agreement

These Template Shop Terms & License Agreement (“Terms”) govern the purchase and use of website templates and related digital products (“Templates”) sold by Merida Creative, LLC (“Merida Creative,” “we,” “us,” or “our”).By purchasing a Template from Merida Creative, checking the agreement box at checkout, or using a purchased Template, you (“Purchaser,” “you,” or “your”) acknowledge that you have read, understood, and agree to these Terms.Please read these Terms carefully before completing your purchase.

1. About Our Templates

Merida Creative offers pre-designed website Templates created for use with Squarespace.

Unless otherwise stated in the applicable product description, a Template purchase includes the website pages, layouts, design elements, and customizations specifically identified on the product listing.Your purchase does not include custom website design, copywriting, branding, SEO services, ongoing website maintenance, a Squarespace subscription, domain registration, premium fonts, paid plugins, stock photography, third-party software, or other products or services unless expressly stated in the product description.

2. Template Delivery

Merida Creative Templates are delivered through Squarespace rather than as downloadable website files.

After purchase, Merida Creative will create or prepare a Squarespace trial site containing the Template you purchased. You will be invited to the website as a Squarespace contributor using the email address provided with your order or another email address you provide to us.Once you have accepted the invitation and any necessary setup steps have been completed, Merida Creative will transfer ownership of the Squarespace website to you.You are responsible for providing an accurate email address and completing any actions necessary to accept the Squarespace invitation and ownership transfer.

Delivery timelines listed on our website are estimates and may be affected by delays in receiving necessary information or action from the Purchaser.

3. Squarespace Account and Subscription

Templates are designed for use with Squarespace and require a Squarespace account and, when you are ready to publish or continue using the website beyond any applicable trial period, an eligible Squarespace subscription.

Squarespace subscription fees, domain fees, transaction fees, email services, third-party integrations, and any other ongoing platform expenses are your responsibility unless specifically stated otherwise.

Once ownership of the website has been transferred to you, you are responsible for managing the website, account permissions, billing information, subscriptions, domains, settings, and any other services associated with your Squarespace account.

Merida Creative is an independent business and is not affiliated with, sponsored by, endorsed by, or employed by Squarespace. Your use of Squarespace is governed separately by Squarespace's own terms, policies, and service requirements.

4. License Granted

Your purchase grants you a limited, non-exclusive, non-sublicensable, and non-transferable license to use the purchased Template for one website for one business, brand, organization, or individual.

One Template purchase equals one website license.You may customize the Template for your licensed website, including changing the:text and copy; colors; fonts; photography and imagery; branding; page content; navigation; layout and arrangement of content; and other editable design elements.

You may use the customized website for commercial purposes related to the business, brand, organization, or individual for which the Template was licensed.

Purchasing a Template does not transfer ownership of the original Template, Template design system, underlying intellectual property, original code, or other proprietary Merida Creative materials to you.

5. Additional Websites

A Template license may not be reused across multiple websites.If you would like to use the same Template for another business, brand, organization, individual, website, domain, or client project, an additional Template license must be purchased. Creating a duplicate of the Template for use as a second website is considered a separate use and requires an additional license.

6. Prohibited Uses

You may not, directly or indirectly:resell the Template or any substantially similar version of it; redistribute, share, gift, sublicense, or transfer the Template to another person or business; make the Template available for free or paid download; claim the original Template design as your own; sell the Template as a website template, starter site, website kit, theme, design kit, or similar product; create a competing template product using the Template or substantial portions of its design; duplicate the Template for use on multiple websites without purchasing additional licenses; share access to the Template for the purpose of allowing another person to duplicate or reuse it; extract, copy, package, or redistribute proprietary code or design elements from the Template as a standalone product; or use the Template in any manner that infringes Merida Creative's intellectual property rights. Purchasing a Template does not grant permission to resell or redistribute Merida Creative's work, even if you modify the Template.

7. Designers and Client Use

The standard Template license is intended for use on one website for the Purchaser's own business, brand, organization, or personal project. Designers, agencies, developers, virtual assistants, or other service providers may not purchase a Template for reuse across multiple client projects. If you wish to purchase or use a Template on behalf of a client, please contact Merida Creative before purchasing to determine whether an appropriate license is available.

8. Intellectual Property

Merida Creative retains all rights, title, and interest in and to its original Templates, including protectable website designs, original graphics, written materials, custom code, instructional materials, branding associated with the Templates, and other original content created by Merida Creative. The license granted under these Terms gives you permission to use the Template as described above. It does not constitute a sale, assignment, or transfer of Merida Creative's intellectual property rights. Content that you independently create or supply for your website—including your original copy, logos, branding, photographs, videos, products, and other business materials—remains yours or remains subject to the rights of its applicable owner.

9. Demo Content, Images, and Third-Party Materials

Template demonstrations may contain example text, placeholder copy, photographs, graphics, fonts, icons, mockups, or other materials intended to demonstrate the Template's appearance. Unless a product listing specifically states otherwise, you should not assume that photographs, premium fonts, stock imagery, third-party graphics, paid plugins, or other third-party materials displayed in a demo are licensed to you as part of your Template purchase. You are responsible for ensuring that you have the necessary rights, permissions, and licenses for any content you add to your website. Merida Creative is not responsible for copyright, trademark, licensing, privacy, publicity-right, or other claims arising from materials that you independently upload, add, or provide.

10. Customization and Technical Knowledge

Templates are designed to make website creation easier, but purchasing a Template does not guarantee that no customization or technical learning will be required. Squarespace functionality, editing tools, browser behavior, mobile displays, integrations, and third-party services may change over time. Unless your purchase specifically includes customization or support services, you are responsible for customizing and maintaining your website after delivery and ownership transfer.

11. Platform Changes

Merida Creative does not control Squarespace or any third-party platform, service, integration, application, browser, search engine, or technology provider. We cannot guarantee that a Template will remain visually or functionally identical indefinitely if Squarespace or another third-party provider changes its software, features, policies, functionality, or technical requirements. Merida Creative is not responsible for loss, errors, incompatibilities, display changes, downtime, or additional work caused by future changes made by Squarespace or other third parties.

12. No Guarantee of Results

Templates are creative and technical tools. Results depend on many factors outside Merida Creative's control.Merida Creative does not guarantee that use of a Template will result in any particular:amount of website traffic; search-engine ranking; SEO performance; accessibility result; number of leads; conversion rate; revenue; sales; bookings; audience growth; or other business outcome. Any examples, demonstrations, testimonials, or descriptions of potential results are illustrative and do not constitute a promise or guarantee of future performance.

13. Accessibility, Privacy, and Legal Compliance

You are responsible for ensuring that your completed website and business comply with laws, regulations, industry requirements, accessibility obligations, privacy requirements, cookie requirements, advertising requirements, and other legal obligations applicable to you and your business. A Template is not legal advice and does not guarantee compliance with any particular law, regulation, accessibility standard, privacy law, or industry-specific requirement. Any sample policies, disclaimers, terms, notices, or other legal-style content appearing in a Template are placeholders unless expressly stated otherwise and should not be relied upon as legal advice.You should consult an appropriate professional regarding requirements applicable to your business.

14. Final Sale and Refund Policy

Because Merida Creative Templates are digital products and fulfillment requires us to create, prepare, and provide access to a website specifically for your order, all Template sales are final once fulfillment has begun. For purposes of this policy, fulfillment begins when Merida Creative creates or prepares the Squarespace trial site for your order, begins transferring the purchased Template into your designated site, or sends you access to the purchased Template, whichever occurs first.

Once fulfillment has begun, Templates cannot be returned, exchanged, or refunded because access to the digital product cannot practically be revoked in the same manner as a physical product.

Please review the Template demonstration, product description, included pages, requirements, features, and FAQs carefully before purchasing. Merida Creative may, in its sole discretion, provide a refund or other resolution in the event of a duplicate purchase, billing error, technical delivery issue caused by Merida Creative, or another exceptional circumstance. Nothing in this section limits any rights you may have that cannot legally be waived.

15. Order Errors

You are responsible for reviewing your order before completing checkout.If you accidentally purchase the wrong Template, purchase the same Template twice, or believe there is an error with your order, contact Merida Creative as soon as possible at hello@meridacreative.co. We will review the situation and determine whether we can make a correction before fulfillment begins.

16. Chargebacks and Payment Disputes

If you believe you were charged incorrectly or experience a problem with your order, please contact Merida Creative first so that we have an opportunity to investigate and resolve the issue. Initiating a payment dispute or chargeback does not change the intellectual property restrictions or license requirements contained in these Terms. If payment for a Template is reversed, refunded, canceled, or determined to be fraudulent, your license to use the Template may be terminated.

17. Support

Your Template purchase includes only the support specifically described on the applicable product page. Unless otherwise stated, purchasing a Template does not include ongoing website management, customization, troubleshooting of third-party services, strategy consulting, copywriting, SEO services, or custom development. Additional services may be available from Merida Creative for an additional fee.

18. Template Updates

Merida Creative may occasionally modify, improve, replace, or discontinue Templates.Purchase of a Template does not guarantee access to future Template versions, redesigns, updates, additional pages, features, or support unless specifically stated at the time of purchase. We are not obligated to update a previously purchased Template to match later versions.

19. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Templates and related materials are provided on an “as is” and “as available” basis. Merida Creative makes no warranties, express or implied, regarding uninterrupted operation, compatibility with every device or third-party service, merchantability, fitness for a particular purpose, or achievement of a particular business result.We make reasonable efforts to deliver Templates as represented in the applicable product description but cannot guarantee that third-party platforms or services will operate without interruption or change.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Merida Creative will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your purchase or use of a Template, including lost profits, lost revenue, lost data, lost business opportunities, website downtime, or third-party platform issues.To the fullest extent permitted by applicable law, Merida Creative's total liability arising out of or relating to your Template purchase will not exceed the amount you actually paid to Merida Creative for the Template giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

21. Termination of License

Your Template license may terminate if you materially violate these Terms, including by copying, reselling, redistributing, sublicensing, or using a Template on more websites than your license permits.

Upon termination of a license for material breach, you must stop using and distributing the Template and any unauthorized copies of it.Termination does not limit any other rights or remedies available to Merida Creative.

22. Third-Party Services

Your Template may be used alongside products or services provided by Squarespace or other third parties.

Merida Creative does not control and is not responsible for third-party platforms, products, pricing, subscriptions, security, outages, policies, terms, functionality, or customer service.Your relationship with any third-party provider is governed by your agreement with that provider.

23. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute arising from these Terms will be handled in a court of competent jurisdiction as permitted by applicable law.

24. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

25. No Waiver

If Merida Creative does not immediately enforce a provision of these Terms, that does not constitute a waiver of our right to enforce that provision later.

26. Entire Agreement

These Terms, together with the applicable product description, Refund Policy, Privacy Policy, and any other terms expressly presented to you at checkout, constitute the agreement between you and Merida Creative regarding your Template purchase.If a product listing expressly contains terms that differ from these general Terms, the product-specific terms will control with respect to that product.

27. Changes to These Terms

Merida Creative may update these Terms from time to time to reflect changes to our products, business practices, technology, or legal requirements.The “Last Updated” date at the top of this page will indicate the most recent revision.For a completed purchase, the version of these Terms presented or in effect at the time of purchase will govern that purchase unless applicable law requires otherwise.
